4. Client Responsibilities
As a client or user of our services, you agree to:
- Provide accurate, complete, and up-to-date information required for service delivery.
- Grant necessary access to platforms, accounts, and assets required to execute agreed services (e.g., ad accounts, social media pages, website backend).
- Review and approve deliverables within the timelines specified in your service agreement.
- Ensure that all content, materials, or assets you provide to us do not infringe upon any third-party intellectual property rights, privacy rights, or applicable laws.
- Comply with the advertising and platform policies of third-party platforms (Google, Meta, etc.) relevant to your campaigns.
5. Payment Terms
- All fees and payment schedules are outlined in the respective service proposal or agreement.
- Payments are due as per the agreed billing cycle (monthly, quarterly, or project-based).
- Invoices not paid within the due date may attract a late payment fee or result in a temporary suspension of services.
- All prices are exclusive of applicable taxes (including GST) unless stated otherwise.
- Refunds, if applicable, are governed by the Refund Policy outlined in your service agreement. Brilliant Brains Digital does not offer refunds on work already completed or on third-party ad spends.
6. Intellectual Property
Our Content: All content on this website — including text, graphics, logos, images, videos, and software — is the property of Genisis Strategies Pvt. Ltd. and is protected under applicable intellectual property laws. You may not reproduce, distribute, or use any content from this website without our prior written consent.
Client Content: You retain ownership of all content, data, and assets you provide to us. By sharing such materials, you grant Brilliant Brains Digital a non-exclusive, royalty-free license to use, modify, and display them solely for the purpose of delivering your services.
Deliverables: Upon full payment of all dues, ownership of custom deliverables (e.g., creatives, website files, written content) created specifically for you will transfer to you. Until such payment is made, all deliverables remain the property of Brilliant Brains Digital.
7. Confidentiality
Both parties agree to keep confidential any proprietary or sensitive business information shared during the course of engagement. This obligation continues for a period of two (2) years after the termination of services. Confidential information does not include information that is publicly available or independently developed without reference to the disclosed material.
8. Results Disclaimer
Brilliant Brains Digital employs best practices, data-driven strategies, and experienced professionals to deliver measurable results. However, we do not guarantee specific outcomes such as a defined number of leads, a particular revenue figure, specific search engine rankings, or a guaranteed return on ad spend (ROAS). Digital marketing results are influenced by a variety of external factors beyond our control, including market conditions, platform algorithm changes, competition, and client-side factors.
9. Third-Party Platforms & Tools
Our services may involve the use of third-party platforms, tools, and services (e.g., Google, Meta, HubSpot, Mailchimp, Shopify). We are not responsible for any changes in policies, pricing, availability, or performance of these third-party platforms. Clients are responsible for complying with the terms of service of all third-party platforms relevant to their campaigns.
10. RCS Messaging Terms
Where Brilliant Brains Digital uses Rich Communication Services (RCS) messaging as part of its marketing communication or client engagement:
- Messages are only sent to individuals who have provided explicit opt-in consent.
- Message frequency varies based on campaign requirements.
- Standard messaging rates from your mobile carrier may apply.
- You may opt out at any time by replying STOP to any RCS message.
- We do not share your mobile number with third parties for their independent marketing use.
11. Limitation of Liability
To the fullest extent permitted by applicable law, Genisis Strategies Pvt. Ltd. and its directors, employees, and partners shall not be liable for any indirect, incidental, consequential, or punitive damages arising from your use of our services or website, including but not limited to loss of revenue, loss of data, or business interruption. Our total liability in any matter related to our services shall not exceed the total fees paid by you in the three (3) months preceding the claim.

Ltd., its affiliates, officers, directors, employees, and agents from and against any claims, damages, penalties, losses, or expenses (including reasonable legal fees) arising out of your breach of these Terms, your use of our services, or your violation of any applicable law or third-party rights.
13. Termination of Services
Either party may terminate the service engagement by providing written notice as specified in the service agreement (typically 30 days). Upon termination:
- All outstanding payments become immediately due.
- We will return or transfer all client-owned assets and account accesses.
- Brilliant Brains Digital reserves the right to retain work-in-progress materials until final payment is received.
- Termination does not affect rights or obligations that arose prior to the termination date.
